These Terms and Conditions (“Terms”) govern your access to and use of the Art Locker - digital asset management, art approval, and auto mockup software and services (the “Services”) provided by IE.com LTD, doing business as Graphxsource (“Graphxsource,” “we,” “our,” or “us”). By subscribing to or using our Services, you (“Client,” “you,” or “your”) agree to these Terms.

Graphxsource provides subscription-based tools for managing, storing, approving, and generating visual assets. You may use the Services solely for your internal business purposes and in accordance with these Terms.

You are responsible for maintaining the confidentiality of your account credentials and all activity under your account. Unauthorized sharing or resale of account access is strictly prohibited.

You retain full ownership of all files, images, artwork, and data (“Assets”) you upload to the platform. By uploading or submitting Assets, you grant Graphxsource a non-exclusive, limited, revocable license to store, display, process, and use those Assets as necessary to provide the Services (including generating mockups, previews, or AI-based tags).

If your subscription ends or payment lapses, you will have 7 days to download any stored Assets before they may be deleted or archived. After this period, Graphxsource has no obligation to retain or restore your data.

Access to the Services is available on a monthly subscription basis, payable by credit card through our online payment system. Subscriptions automatically renew each month unless canceled prior to the next billing date.

All fees are non-refundable except as required by law. Failure to maintain valid payment may result in suspension or termination of your account and deletion of stored Assets after the grace period noted above.

Graphxsource uses AI-based tools to assist with asset tagging, search, and mockup generation. These features are provided “as is” and may occasionally produce inaccurate or unexpected results. You are solely responsible for verifying the accuracy, appropriateness, and legality of all AI-generated content before use or publication.

Graphxsource does not claim ownership of AI-generated outputs based on your uploaded Assets; however, by using AI features, you grant us permission to process your data through automated systems as part of service delivery.

We collect and process limited personal and business information necessary to provide the Services. Our handling of data is governed by our Privacy Policy, which forms part of these Terms.

We use commercially reasonable security measures to protect stored data but cannot guarantee absolute security. You acknowledge that internet-based data transfer carries inherent risks.

All software, tools, user interfaces, and related documentation are the exclusive property of Graphxsource and its licensors. Except for the limited rights expressly granted herein, no ownership or intellectual property rights are transferred to you.

You may not reverse engineer, copy, modify, or create derivative works from the Services.

You agree not to:

• Upload or store illegal, defamatory, or infringing content.
• Use the Services to distribute malware, spam, or unauthorized commercial communications.
• Attempt to bypass or interfere with the platform’s functionality or security.

Violation of these conditions may result in immediate suspension or termination.

We strive for reliable uptime but do not guarantee uninterrupted access. We may update, enhance, or discontinue features from time to time. Any significant changes affecting pricing or access will be communicated in advance.

To the maximum extent permitted by law, Graphxsource and its affiliates shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Services, including loss of data, revenue, or business opportunities.

Our total cumulative liability under these Terms shall not exceed the total subscription fees paid by you in the three (3) months preceding the claim.

Either party may terminate the subscription at any time. Upon termination, your right to access the Services ends, and the data retention grace period begins as outlined in Section 2.

These Terms are governed by and construed in accordance with the laws of the State of [Insert State or Country of Registration], without regard to conflict of law principles. Any disputes shall be resolved exclusively in the competent courts located in that jurisdiction.

We may revise these Terms periodically. Updated versions will be posted on our website with the effective date indicated. Continued use of the Services after updates constitutes acceptance of the revised Terms.
